The UZURV Referral Reward Program allows certain registered UZURV Users (as that term is defined in the UZURV Terms and Conditions) to be eligible to earn Referral Rewards by referring other persons to UZURV either as Requesters or Transportation Providers. If a User refers a person to be a UZURV Requester or Transportation Provider, the Referring User becomes eligible to receive a Referral Reward as described below.
To participate, Users agree to these Terms and Conditions (the “Terms”), which become part of the UZURV Terms and Conditions. Terms have the same definitions as provided in the UZURV Terms and Conditions unless the terms are otherwise defined herein. All provisions of the UZURV Terms and Conditions, including Limitation of Liability, Disclaimers, Arbitration, Governing Law, and Forum Selection govern the Referral Reward Program, except as otherwise specifically set forth herein.
Please note that UZURV may suspend, cancel and/or terminate the Referral Program or a User’s ability to participate in the Referral Program at any time for any reason. Referral Reward percentages or amounts may also change at any time. The accumulation of Referral Rewards does not entitle Users to any vested rights with respect to such Referral Rewards. In accumulating Referral Rewards, Users may not rely on the continued availability of the Referral Reward Program and Referral Rewards in the program. The Referral Reward Program and any Referral Reward may be withdrawn or subject to increased or additional terms or conditions, or new restrictions, at any time. UZURV may, among other things, withdraw, limit, modify or cancel Referral Rewards; change the conditions of participation, or the rules for earning, retaining or forfeiting Referral Rewards; or eliminate the Referral Reward Program altogether. UZURV may make these changes at any time even though such changes may affect your ability to use or access Referral Rewards that you have already accumulated.
You are responsible for reading the UZURV Referral Reward Program Terms, the UZURV Terms and Conditions, and other UZURV information to understand your rights, responsibilities and status under the Referral Reward Program. UZURV may amend the rules of the Program at any time without notice, and UZURV has no liability for correspondence regarding the Referral Rewards Program that is misdirected, lost, damaged, or delayed.
“Cancellation” or a “cancelled” Reservation is a Reservation which is either (1) affirmatively cancelled by the Requester or Transportation Provider, or (2) not completed because one party or the other is not present at the scheduled time and place of the Reservation.
“Market Area” is the geographic area designated by UZURV for purposes of setting prices for Reservation Rewards.
“Referring User” means a Transportation Provider (as defined in the UZURV Terms and Conditions) who refers a person who is not already a UZURV User to become a UZURV User, either as a Requester or Transportation Provider. Transportation Providers are only eligible to become Referring Users under this program if the Transportation Provider is active and in good standing with UZURV and with a Transportation Network Company (“TNC”) such as Uber or Lyft.* (*Uber and Lyft are trademarks owned by their respective owners, and UZURV claims no ownership of any trademark or copyrighted material of those companies).
“Referred Requester” means a Requester who has an active TNC account, who has been referred to UZURV by a Referring User and who becomes a registered UZURV Requester using the Identification Code of the Referring User.
“Referred Provider” means a Transportation Provider who has been referred to UZURV by a Referring User and who becomes a registered Transportation Provider using the Identification Code of the Referring User.
“Referred Person” means either a Referred Requester or a Referred Provider.
How to Earn Referral Rees
Referring Users are eligible to earn Referral Rewards each time a Referred Person (i) creates a valid UZURV account that complies with the UZURV Terms of Service using the Identification Code of the Referring User, (ii) schedules a reservation on the UZURV Site or Mobile App, and (iii) completes a Qualifying Reservation (as defined below) as a Requester or Transportation Provider.
For each completed Qualifying Reservation, the Referring User will receive a Referral Reward as follows:
(a) Each time a Referred Requester completes a Qualifying Reservation, UZURV will pay the Referring User a “Referred Requester Reward” of seven percent (7%) of the net non-discounted Reservation Reward (that is, after payment of credit card fees or other fees associated with the Reservation Fee) paid to UZURV by the Referred Requester.
(b) Each time a Referred Provider completes a Qualifying Reservation, UZURV will pay the Referring User a “Referred Provider Fee” of seven percent (7%) of the net non-discounted Reservation Fee (that is, after payment of credit card fees or other fees associated with the Reservation Fee) paid to UZURV by the Referred Provider.
For each Referring User, Referral Rewards are tracked on a calendar month basis, and are paid on a monthly basis within the first 15 days of the month following the calendar month in which the Qualifying Reservation was completed. To be eligible to receive payment of accumulated Referral Rewards for a calendar month, Referring Users must complete ten (10) UZURV Reservations of their own during that same calendar month. If the Referring User does not complete ten (10) UZURV Reservations of their own during the same calendar month in which the Referral Rewards are accumulated, the Referral Rewards accumulated in that calendar month are forfeited. Referral Rewards accumulated in any calendar month do not carry over to subsequent months under any circumstances.
In order for a Referring User to receive a Referral Reward for a Referred Requester, a Qualifying Reservation means (1) a Reservation request by the Referred Requester, (2) which is accepted by a Transportation Provider, (3) the Reservation is completed (not cancelled) by the Referred Requester or Transportation Provider, and (4) a full (non-discounted) Reservation Fee for the Market Area is paid to UZURV by the Requester and Transportation Provider, and not refunded to the Referred Requester.
In order for a Referred User to receive a Referral Reward for a Referred Provider, a Qualifying Reservation means (1) a Reservation request from a Requester, (2) which is accepted by the Referred Provider, (3) the Referred Provider is active and in good standing with a Transportation Network Company, (4) the Reservation is completed (not cancelled) by the Requester or Referred Provider, and (5) a full (non-discounted) Reservation Fee for the Market Area is paid to UZURV by the Requester and Transportation Provider, and not refunded to the Referred Provider.
A Referred User may only use one Identification Code when setting up a UZURV account. If a Referred User receives an Identification Code from multiple UZURV Users, only the Identification Code used by the referred User will be eligible to receive the Referral Reward.
Updates of the Terms
We can update these terms at any time without prior notice. If we modify these terms, we will post the modification on the UZURV.com website or the Mobile App, which are effective upon posting. Continued participation in the Referral Rewards Program after any modification shall constitute consent to such modification or change. If modified terms are not acceptable, the only recourse is to stop sending referrals or stop participating in the Referral Rewards Program.
Penalties and Refunds
Referral Rewards accumulated or paid as a result of fraudulent activities or activities that do not strictly comply with the terms herein are null and void. UZURV reserves the right to suspend accounts or remove referrals if we notice any activity that we believe is abusive, fraudulent, or inconsistent with these terms. We reserve the right to review and investigate all referral activities and to suspend accounts or cancel or modify referrals as we deem fair and appropriate.
UZURV will deduct from Referral Rewards to Transportation Providers any penalties for cancellations or “no shows” by the Transportation Provider, penalties for other violations of the Terms of Service, refunds to Requesters for which the Transportation Provider is liable, and any unpaid Reservation Fees owed by the Transportation to UZURV. In the event there is a dispute or disagreement between a Requester and Transportation Provider regarding whether a Reservation should be or was properly cancelled, UZURV shall be the sole arbiter of the dispute or disagreement, and any decision made by UZURV shall be final in this regard.
Identification Codes for a User are unique and attached solely to the individual User. Identification Codes and Referral Rewards accumulated pursuant to an Identification Codes may not be sold, purchased, bartered, gifted, devised or otherwise transferred by the Referring User. Any such purported transfer is void and the purported transferee of an Identification Code or Referral Rewards accumulated pursuant to an Identification Code is ineligible to receive Referral Rewards.
Eligibility to receive Referral Rewards is unique to the User to whom an Identification Code corresponds. Accumulated and unpaid Referral Rewards may not be transferred, or gifted to any other person or entity, may not be used as collateral for any loan or otherwise encumbered. Identification Codes and Referral Rewards accumulated pursuant to an Identification Code are not transferable upon death, as part of a domestic relations matter, or otherwise by operation of law. Only Referring Users will receive distribution of a Referral Reward, and only if a Referring User meets the eligibility requirement of the Referral Program.
UZURV is not responsible for cancellation of any Reservation scheduled through the UZURV system, or a loss of Referral Rewards as a result of such cancellation.
UZURV will maintain an account of Referral Rewards for eligible Users. Users shall have the ability to review their Referral Reward account by contacting UZURV at firstname.lastname@example.org.
You are responsible for ensuring that your Referral Reward account is properly credited. If you believe that a Referral Reward has not been paid or properly credited to your account, you must submit a notice to UZURV within 30 days of the end of the calendar month in which the Referral Reward should have been credited or paid. You may be required to submit documentation or other proof satisfactory to UZURV, including confirmation of the Qualifying Reservation and payment of the Reservation Fee. Failure to submit a notice within such 30 day period shall serve as confirmation that the Referring User agrees with the Referral Rewards credited to the User’s account or paid to the User, and constitutes a waiver of any claim for accumulated or unpaid Referral Rewards.
If UZURV has failed to properly account for Referral Rewards, or failed to pay Referral Rewards to an eligible User pursuant to these Terms of Service, the Users exclusive remedy shall be payment of the Referral Reward. UZURV shall have no additional liability whatsoever to the User or anyone claiming through the User, for any direct, indirect, or consequential damages, or loss revenue or profits, arising out of the payment or failure to pay Referral Rewards, or for any other acts or omissions of UZURV. A full description of limitation of liability terms is provided in the UZURV general Terms and Conditions.
Only individuals are eligible for the Referral Reward Program. Corporations or other entities are not eligible for this program.
Users are responsible for determining eligibility for participation in the Referral Reward Program or for receipt of payment of Referral Rewards under state or local law. Referral Rewards may not be accumulated and may not be paid to any User where such payment is contrary to applicable state or local law.
Users responsible for payment of any taxes or fees required to be paid based on receipt of Referral Rewards.
UZURV assumes no responsibility for and is not liable for any unauthorized access by third parties to a User’s account and/or account information, including but not limited to unauthorized receipt of Referral Reward payments.
These Terms supersede any other verbal or written communication regarding the Referral Reward Program.
These Terms and Conditions are governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law rules. These Terms of Service are governed by the same rules and provisions as set forth in the UZURV general Terms and Conditions.
If any provision, or portion thereof, of these terms is held to be invalid, void, or unenforceable, such provision or portion will be struck and will not affect the validity of an enforceability of the remaining provisions.
